Scope of services
Pranaya Infosoft provides software design, development, AI engineering, QA and support services. The precise scope, timeline and fees for each engagement are defined in a signed proposal or statement of work, which prevails over these terms.
Proposals and estimates
Estimates are valid for 30 days. Any change to agreed scope is handled through a written change request with revised effort and cost.
Payments
Unless stated otherwise, engagements are billed on a milestone or monthly basis with payment due within 15 days of invoice. Delayed payments may pause active work.
Intellectual property
On full payment, all custom deliverables and source code created for the client transfer to the client. Pre-existing frameworks, internal libraries and know-how remain the property of Pranaya Infosoft and are licensed for use within the delivered solution.
Confidentiality
Both parties protect each other's confidential information and disclose it only to team members who need it to perform the work, under equivalent obligations.
Warranty and support
Deliverables carry a 30-day defect-fix warranty from acceptance. Ongoing maintenance, monitoring and enhancements are available under a separate support agreement.
Limitation of liability
Except for confidentiality breaches or wilful misconduct, total liability under any engagement is limited to the fees paid for the three months preceding the claim. Neither party is liable for indirect or consequential loss.
Governing law
These terms are governed by the laws of India, with courts in Ahmedabad, Gujarat having exclusive jurisdiction.
